Terms of Service

Newtwork Solutions LLC ("we," "us," "our," or "Company") provides IT and technical services, including but not limited to infrastructure installation, structured cabling, IT and OT site surveys, managed services, product sales, and subscription-based services (the "Services"). These Terms of Service ("Terms") govern the relationship between the Company and our customers ("you," "your," or "Client"). By engaging our Services, you agree to be bound by these Terms.

1. Scope of Services

1.1. Service Agreement

The specific Services to be provided by Newtwork Solutions LLC will be detailed in a service agreement or proposal, which will include the scope of work, timelines, and costs. Any changes to the scope of work after the agreement must be agreed upon in writing by both parties.

1.2. Products and Equipment

We offer a variety of products, including but not limited to TP-Link, Ubiquiti, Cisco, Dell, and HP products. All equipment provided will be specified in the service agreement.

1.3. Third-Party Services

If your project requires services or equipment from third-party providers (e.g., internet service providers like Starlink), you are responsible for all interactions and agreements with these third parties. Newtwork Solutions LLC is not liable for any issues arising from third-party services.

1.4. Subscription Services

Newtwork Solutions LLC offers subscription-based services, including but not limited to:

  • Jeffery Software Subscription – $99 per month, with an optional remote support add-on for an additional $99 per month.
  • Vehicle Stall Occupancy Detection System – Hybrid pricing model:
    • Base Subscription: $99 per month
    • Per-Stall Monitoring: $49 per monitored stall per month

Subscription-based services are billed on a recurring basis per the terms outlined in Section 2: Payment Terms.

2. Payment Terms

2.1. Pricing

The price for Services, products, and subscriptions will be detailed in the service agreement. Any additional Services or products requested beyond the original scope will incur additional costs.

2.2. Invoicing & Subscription Billing

  • Standard Services & Products: Invoices will be issued upon completion of the Services. Payment is due within 15 days of obtaining a signature of completion from the Client.
  • Subscriptions: Subscription services are billed monthly in advance. The first payment is due upon activation, and recurring payments are processed on the same date each month.

2.3. Late Payments & Service Suspension

Payments not received by the due date will incur a late fee of 1.5% per month of the outstanding balance.

Subscription payments that are overdue by 7 days may result in suspension of Services. Newtwork Solutions LLC reserves the right to terminate subscriptions for non-payment.

2.4. Chargebacks & Disputed Payments

The Client agrees to contact Newtwork Solutions LLC to resolve any billing concerns before initiating a chargeback or dispute with their financial institution. Chargebacks made without prior communication may be considered a breach of these Terms.

If a chargeback is filed and found to be unauthorized or unsubstantiated:

  • A $35 administrative fee will be applied;
  • Services and subscriptions may be suspended or terminated until the balance is paid in full;
  • The Client may be invoiced for any bank penalties, overdraft fees, or service losses incurred as a result of the chargeback;
  • Newtwork Solutions LLC reserves the right to pursue legal or third-party collections to recover all applicable amounts, including fees and interest.

2.5. Subscription Cancellations

Subscriptions may be canceled with 30 days' written notice before the next billing cycle. No refunds will be issued for partial months of service.

3. 90-Day Warranty

3.1. Coverage

Newtwork Solutions LLC provides a 90-day warranty on all installations and products provided by us. This warranty covers service, repair, or full replacement of any defective product or installation issue.

3.2. Warranty Claims

If a defect is discovered within the 90-day period, we will return to the site and repair or replace the faulty equipment at no additional charge. The warranty does not cover damage caused by misuse, neglect, or unauthorized modifications by the Client or third parties.

3.3. Exclusions

The warranty does not cover issues arising from third-party products or services, such as internet service providers, unless those products or services were sourced and installed by Newtwork Solutions LLC.

4. Service Availability & Subscriptions

4.1. Service Hours

Standard service hours are Monday through Friday, 8:00 AM to 6:00 PM. Emergency services outside of these hours may incur additional charges.

4.2. Subscription Support & Upgrades

Clients with active subscriptions receive ongoing support and software updates as part of their package. Hardware replacement and additional service requests may incur additional costs, as outlined in the subscription agreement.

4.3. Service Interruptions

We strive to minimize service interruptions but are not liable for delays or interruptions caused by factors beyond our control, such as weather, power outages, or third-party service failures.

5. Client Responsibilities

5.1. Access to Premises

The Client agrees to provide access to their premises as required for the provision of Services. Failure to provide access may result in delays or additional charges.

5.2. Site Preparation

The Client is responsible for ensuring that the installation site is prepared according to the specifications provided by Newtwork Solutions LLC. This may include, but is not limited to, clearing obstacles, ensuring proper power supply, and providing adequate ventilation.

6. Liability and Limitation of Liability

6.1. General Liability

Newtwork Solutions LLC will perform the Services with reasonable skill and care. Our liability for any direct damages arising from our Services or products is limited to the total fees paid by the Client for the specific Service or product that caused the damage.

6.2. Exclusion of Indirect Damages

We are not liable for any indirect, incidental, or consequential damages, including but not limited to loss of profits, data loss, or business interruption, even if advised of the possibility of such damages.

6.3. Indemnification

The Client agrees to indemnify and hold harmless Newtwork Solutions LLC from any claims, damages, losses, or expenses arising from the Client’s breach of these Terms, misuse of our Services, or negligence.

7. Termination

7.1. Termination by Client

The Client may terminate the service agreement by providing written notice. The Client will be responsible for payment of all Services rendered up to the date of termination, including any materials or equipment ordered specifically for the project.

7.2. Termination by Company

We reserve the right to terminate the service agreement if the Client fails to comply with these Terms or any service agreement. In the event of termination by Newtwork Solutions LLC, the Client will be invoiced for Services rendered up to the date of termination.

By signing a quotation, completing a purchase on our website, or otherwise engaging our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
